Master Commercial Service & Fabrication Terms
These Master Commercial Terms of Service ("Agreement") govern all commercial roll-up door manufacturing, fabrication, installation, emergency field repair, and maintenance services performed by TitanRoll Industrial Door Systems LLC ("TitanRoll") for commercial property owners, tenants, general contractors, and facility managers ("Client"). By authorizing a service quote, issuing a Purchase Order (PO), or signing a service dispatch agreement, Client accepts these terms in full.
Work Scope & Site Access Responsibilities
TitanRoll delivers commercial overhead door services in strict accordance with agreed-upon written proposals and engineering submittals. Client is responsible for ensuring safe, unencumbered physical access to loading bays and electrical disconnect panels, providing compliant 3-phase electrical power within 5 feet of motor operator locations, and maintaining adequate environmental safety conditions during field execution. Any unexpected structural obstructions, concealed electrical conduits, or hazardous environmental conditions (such as asbestos or active chemical contamination) requiring remediation may result in reasonable schedule adjustments and supplemental change orders.
Commercial Warranty & Hardware Guarantees
All newly installed commercial rolling steel curtains, structural guides, and counterbalance barrel assemblies carry a comprehensive twelve (12) month limited commercial warranty covering material defects and installation workmanship from the date of substantial completion. Commercial jackshaft operators and motorized drive accessories are warranted in accordance with OEM manufacturer terms (typically one to two years). Warranty excludes damage resulting from vehicle or forklift collisions, vandalism, uncalibrated structural building settlement, electrical power surges, or unauthorized third-party mechanical alterations.
Invoicing, Payment Terms & Default Remedies
Approved corporate clients operating under pre-established Net-30 credit terms agree to remit payment in full within thirty (30) calendar days from the invoice date. Past-due balances accrue interest at the rate of 1.5% per month (or the maximum legal statutory rate). In the event of commercial default, Client agrees to reimburse TitanRoll for all reasonable collection expenses, court costs, and attorney fees incurred in securing contract payment. TitanRoll reserves statutory mechanic's lien rights in accordance with state construction statutes across all 27 serviced states.
Prompt Payment Act Compliance & Disputed Invoice Resolution
TitanRoll conducts commercial billing in strict accordance with state Prompt Payment statutes applicable to commercial subcontractors and materialmen across our 27 operational states. Client agrees to notify TitanRoll in writing of any disputed invoice line items within ten (10) business days of receipt, specifying the precise mechanical or contractual basis for the dispute. Undisputed invoice balances remain payable under standard Net-30 credit terms. Both parties agree to negotiate disputed balances in good faith through designated executive representatives prior to initiating formal dispute resolution.
Any unresolved controversy or claim arising out of or relating to this Agreement, or the breach thereof, shall be settled by binding commercial arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. Arbitration proceedings shall be conducted in Rochester, New York or the capital city of the state in which services were performed. The prevailing party in any arbitration or legal enforcement action shall be entitled to recover reasonable attorney fees, expert witness fees, and administrative arbitration costs.
Limitation of Liability & Force Majeure
To the fullest extent permitted by applicable law, TitanRoll's aggregate liability arising out of or related to this Agreement, whether arising out of or related to breach of contract, tort (including negligence), or otherwise, shall not exceed the total contract value paid by Client under the applicable service order. In no event shall TitanRoll be liable for consequential, incidental, indirect, exemplary, special, or punitive damages, including loss of warehouse business revenue, freight carrier detention penalties, or spoilage of temperature-sensitive inventory.
Neither party shall be held in breach of this Agreement for failure or delay in performance caused by circumstances beyond reasonable operational control (Force Majeure), including acts of God, extreme hurricane or severe winter freeze events, utility power grid blackouts, labor strikes, freight carrier blockades, or governmental executive orders.
